**PERMISSIVE AND RESTRICTED USAGE CONTRACT AGREEMENT**
**Between TAKE OFF INC. (“Company,” “TAKE OFF,” or “Owner”) and Renter / Independent Contractor / Driver-Operator (“Renter” or “You”)**

By reading, viewing, electronically signing, or taking possession of any vehicle under this Agreement, you acknowledge that you have read, understand, and agree to be fully bound by every term below. This Agreement constitutes a legally binding contract under the laws of Maryland, the District of Columbia, and Virginia. All terms are drafted to protect the best interests of TAKE OFF INC. to the maximum extent permitted by law. You agree that you are solely an independent contractor and not an agent, employee, partner, or joint venturer of TAKE OFF INC. in any capacity.
**REQUIRED DOCUMENTATION (Mandatory Prior to Vehicle Access)**
You must photo-upload:
1. Valid state-issued driver’s license (front and back);
2. A certified full-length driver record from the applicable DMV (DC, Maryland, or Virginia); and
3. Debit/credit card that will remain attached to your rideshare account for payouts and automatic deductions.
Failure to provide complete, accurate documentation voids any permission and authorizes immediate denial of vehicle access.

All vehicles are inspected and insured. This Agreement, together with any addenda, constitutes the exclusive legal rental and permissive-use authorization.
**INDEPENDENT CONTRACTOR STATUS AND LIMITED PERMISSIVE USE**
You expressly acknowledge and agree that:
- You are not an agent or employee of TAKE OFF INC. in any way.
- Permission granted under this Agreement is strictly limited, restricted, and conditional (“Restricted Permissive Use”).
- This limited permission is granted solely for approved rideshare/business operations and is subject to annual renewal. Either party may cancel with 14 days’ written notice prior to renewal; otherwise the Agreement renews automatically.
- You agree to be on time for all pick-ups and drop-offs of clients, including TAKE OFF staff and affiliates, without additional compensation when requested.
- Personal use is strictly prohibited. You understand and agree that you will have no insurance coverage for any personal, social, or non-approved use, that such use is outside the scope of this Agreement, and that you assume full personal liability for any occurrence arising from unauthorized use.
- You agree to complete a one-hour operator training course (in-person, online, or video) at TAKE OFF’s request.
- You shall not lend, sublease, transfer possession, leave keys/cards, or allow any unauthorized or uninsured person to operate or possess the vehicle without TAKE OFF’s prior express written, stamped consent.
- You shall not deviate from approved business routes, destinations, or rideshare platforms. Unauthorized deviation is subject to a fine of up to $250 per occurrence.
- Maximum daily usage is strictly limited to no more than 11–12 hours of active rental time (specifically 4:00 a.m.–2:00 p.m. and 3:00 p.m.–1:00 a.m., with one hour allocated for transfer), seven days per week, unless TAKE OFF grants express prior written consent. Operation outside these hours voids all permission and insurance protection under this Agreement.
**PAYMENTS AND FINANCIAL OBLIGATIONS**
You consent and agree that TAKE OFF INC., Stephanie White, Marcus Williams, and/or Stripe may receive recurring automatic deductions from your bank, rideshare, or other designated accounts. An active payment/cash-out card or account must remain attached at all times for daily deductions of $108.00 (and in no event more than $160.00) on any or all seven days of the week.
You agree to provide a weekly printout of days and hours worked on approved rideshare platforms. If the payment card is frozen, removed, or otherwise unavailable, you will be automatically fined $150 per day, vehicle and account access will be denied, and a PIN-code warning will appear prior to complete lockout.
All deposits and daily rental fees are non-refundable. No exceptions.
**INSURANCE AND LIABILITY**
It is illegal to operate any vehicle without valid insurance. You agree to maintain at all times valid full personal liability, collision, and comprehensive insurance with extended rental coverage or commercial endorsement. Failure to do so subjects you to a fine of up to $500 and immediate account deactivation.
You understand and agree that TAKE OFF’s insurance and this Restricted Permissive Use authorization have strict limitations. If you operate outside the approved hours, platforms, routes, destinations, or purposes:
- TAKE OFF INC., Stephanie White, and Marcus Williams shall have no liability whatsoever for traffic citations, accidents, personal injury, property damage, or insurance coverage.
- Coverage under TAKE OFF’s policy will not extend to you.
- You drive solely at your own risk and assume full liability.
When any TAKE OFF owner or designated staff member is present in the vehicle, that individual has relinquished control and shall not be held liable for any damages, traffic violations, accidents, or civil/criminal consequences arising from your negligence or operation.
**RESTRICTED USAGE RULES (STRICTLY ENFORCED)**
You agree to the following conditions. Violation of any condition authorizes immediate suspension, fines, vehicle retrieval, account lockout without notice, and/or pursuit of civil or criminal remedies:
- Usage times and itinerary must align exclusively with approved rideshare business hours on Uber, Lyft, DoorDash, Empower, Amazon Flex, or other platforms expressly approved by TAKE OFF. You must accept all available rides to maximize performance. Violation: fine of $250 and possible suspension/retrieval.
- You must return all keys, key cards, garage access devices, building fobs, and uniforms immediately to TAKE OFF INC., Stephanie White, or Marcus Williams only. Failure: fine of up to $500 and possible criminal charges.
- Full Self-Driving (FSD) mode may be used only on highways. Unauthorized use: $150 deduction.
- You may take only two 30-minute charge breaks (if needed) at the closest Tesla Supercharger for lunch/rest, charging to no more than 85% and never allowing the battery to fall below 20%. Violation: $150 deduction. Destruction of the battery results in charge for full replacement cost.
- You shall obey all traffic and criminal laws. Texting, operating devices, eating, drinking, smoking, sleeping, or using any impairing substances or medications while operating the vehicle is strictly prohibited. Violation: fine of up to $500 per occurrence.
- You shall not exceed vehicle capacity (maximum 4 passengers plus driver).
- Vehicles must be kept clean at all times. You must take the vehicle through Mr. Car Wash and then perform self-service vacuuming, spraying of mats, and interior cleaning every other day (Monday, Wednesday, Friday) at the closest Mr. Wash location or in Silver Spring only. Missed occurrence: $100 deduction.
- Any staff or passenger property found in the vehicle must be reported to TAKE OFF staff immediately after reasonable attempts to return it to the rightful owner.
- You shall operate only within the District of Columbia, Maryland, and Virginia, and only within a 35-mile radius in any direction from the designated pick-up location, using only the approved platforms listed above or for scheduled private TAKE OFF staff/client work.
- You must prioritize all TAKE OFF staff and affiliate passengers (via TAKE OFF App) over all other rideshare or client work.
- “Permission” under this Agreement is limited and does not authorize personal, social, or any non-approved use. Personal use is forbidden to minimize tickets, maintenance costs, and vehicle wear.
**PICK-UP / DROP-OFF LOCATIONS**
You agree to pick up and drop off the vehicle at the nearest Metro, MARC, or Light Rail station parking lot/garage, or at any other location specified by TAKE OFF, by the end of your authorized rental period unless otherwise directed in writing.
**TRAFFIC TICKETS, CITATIONS, AND BACKGROUND**
If at any time you have a poor driving record, outstanding tickets, infractions, or background issues, TAKE OFF may impose further restrictions, limit use, or terminate this Agreement at its sole discretion, without liability. The same applies to unstable employment, late or missed client obligations, or any conduct that increases risk to TAKE OFF.
**DRUG AND ALCOHOL SCREENINGS**
By signing or accepting this Agreement (including by electronic signature or taking possession), you represent that you have no current or prior criminal background involving drugs or alcohol, no addiction to alcohol, drugs, marijuana, or any illicit stimulants/substances, and are not a habitual user of any impairing substances. You agree to submit to random alcohol/drug testing and to provide any medical reports requested by TAKE OFF at any time, especially after any accident, damage, or infraction.
TAKE OFF INC. and its staff/affiliates have no knowledge (actual or imputed) of any mental, physical, or criminal risks associated with you. TAKE OFF shall not be held liable for any drug-, alcohol-, or substance-related civil or criminal charges, violations, fines, fees, or actions of any kind arising from your conduct.
**MORALITY CLAUSE**
While in possession of or operating any TAKE OFF vehicle, and at all times while representing or associated with TAKE OFF (including outside of uniform or operating hours), you agree to maintain elite professional conduct. Moral turpitude standards apply fully. Any conduct (or appearance of conduct) that is or could reasonably be deemed harmful to TAKE OFF INC., its brand, name, affiliates, sponsors, contractors, or employees may result in immediate termination, fines, and pursuit of all available legal remedies.
**GENERAL PROVISIONS AND ENFORCEMENT**
- All fines, deductions, and charges under this Agreement are immediately due and may be deducted from any amounts otherwise payable to you or collected by any lawful means.
- You agree to indemnify, defend, and hold harmless TAKE OFF INC., its owners (including Stephanie White and Marcus Williams), officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use, operation, or possession of any vehicle, your breach of this Agreement, or your negligence or willful misconduct.
- This Agreement is governed by the laws of Maryland, the District of Columbia, and Virginia, as applicable to the location of the vehicle or the occurrence.
- If any provision is held unenforceable, the remaining provisions shall continue in full force.
- This document, together with any addenda and the insurance policies referenced, constitutes the entire agreement. No oral modifications are binding.
- Your electronic signature, acceptance of keys/access, or operation of any vehicle constitutes full acceptance and creates a binding obligation.

**BY READING, CHECKING THIS BOX AND SIGNING BELOW OR BY TAKING POSSESSION OF ANY VEHICLE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS ENTIRE AGREEMENT, UNDERSTAND IT, AND AGREE TO BE LEGALLY BOUND BY ALL TERMS. YOU FURTHER ACKNOWLEDGE THAT ALL TERMS ARE INTENDED TO PROTECT TAKE OFF INC. AND TO HOLD YOU FULLY LIABLE FOR ANY VIOLATION OR OCCURRENCE ARISING FROM YOUR USE OF THE VEHICLE.*
