PERMISSIVE AND RESTRICTED USAGE CONTRACT AGREEMENT

Between TAKE OFF INC. / Stephanie A. White (Owner) (“Company,” “TAKE OFF and TAKE OFF INC.,” or “Owner”) and Independent Contractor Renter / Operator (“Renter,” “You,” or “Operator”)

PLEASE PHOTO / VIDEO UPLOAD YOURSELF HOLDING YOUR VALID STATE-ISSUED DRIVER’S LICENSE (SHOWING FRONT AND BACK) TOGETHER WITH A CERTIFIED FULL-LENGTH DRIVER RECORD, AND IMMEDIATELY ATTACH YOUR DEBIT / CREDIT CARD THAT WILL REMAIN LINKED TO YOUR TAKE OFF PROFILE AND APPROVED RIDESHARE ACCOUNT FOR RECURRING AUTO-PAYMENTS TO TAKE OFF INC. FOR THE ENTIRE DURATION OF YOUR SELECTED RENTAL PACKAGE.

BY USING, ACCESSING, OR TAKING POSSESSION OF ANY VEHICLE OR SERVICE UNDER THIS AGREEMENT, YOU AGREE TO ALL TERMS AND CONDITIONS CONTAINED HEREIN. IF YOU DO NOT AGREE, DO NOT USE OR ACCESS THE SERVICE OR ANY VEHICLE.

1. INDEPENDENT CONTRACTOR STATUS AND LIMITED PERMISSIVE USE

By reading, viewing, signing, or taking possession under this Agreement, you agree that you are solely an independent contractor / renter / operator and are in no way an employee, agent, partner, or joint venturer of TAKE OFF INC. You agree to adhere strictly to all terms and to operate all TAKE OFF vehicles exclusively under this restricted “Permissive Use” Agreement for the full term selected, with automatic annual renewal unless cancelled in writing within three (3) days of the selected rental renewal timeframe.

You agree to be on time for all pick-ups and drop-offs of clients / passengers, including TAKE OFF Inc., staff and affiliates, with or without pay, at any time upon reservation or upon TAKE OFF’s request. Personal use is strictly prohibited. You understand and agree that you will have no legal insurance coverage for personal use, that operation outside approved rental business hours is unauthorized, and that you will be held fully liable for any occurrence arising from unauthorized use. You drive at your own risk unless explicit prior written permission has been granted by TAKE OFF Inc.

You agree to review and complete the Tesla Digital and Physical training located in the Grey Manual (with the letter “i”) located in the dock on the bottom row of the EV screen before physically taking posession or driving any vehicle, and to complete a one (1)-hour operator training course (in-person, online, or video) with TAKE OFF at any time upon request. You agree to remain enrolled in the Plan you select for a minimum of twelve (6-12) months or until the rental term ends. Early termination requires ninety (90) days’ written notice and will result in an Early Termination Fee equal to one-half of the remaining unpaid fees for the unfulfilled term and rental time loss.

2. USAGE REQUIREMENTS AND PRODUCTIVITY

All Drivers / Renters / Operators understand and agree to maintain a daily productivity / earnings quota of at least $250.00 to ensure sufficient funds remain available for recurring package debit payments, to stay on time, and to keep the account active. Missed payments will result in automatic lockout and a fifty-dollar ($50) penalty, at any time without notice.

You agree to perform a vehicle checklist / walk-around and to send a photo / video of any visible damage before and after each use to avoid penalties or be subject to any damages found during the time of your rental. You agree to report all accidents to the police and to TAKE OFF by contacting a TAKE OFF supervisor as first priority for further instructions. Never admit guilt or submit any statement without consulting an attorney (resources listed below); TAKE OFF does not provide legal advice.

You agree not to lend, sublease, lose, drop off, leave fobs / keys / cards, transfer the vehicle, or give possession to any uninsured, unauthorized, or unapproved individual without TAKE OFF’s express prior written and stamped consent. Violation will result in suspension or termination of this Agreement, a $500 fine, full responsibility for all damages and legal fees, and possible legal action.

All members must Follow, Repost, and create commercial video / photo posts while wearing the Company Logo Shirt, and must distribute at least ten (10) flyers weekly to potential passengers. You agree not to carry more than four (4) passengers (total of five including the driver) unless otherwise specified in writing. You agree to complete any required road test, book test, or TAKE OFF driving manual training before taking possession.

You agree to exercise high safety precautions to avoid potholes, ditches, construction zones, uneven roads / pavements, alleys, parking areas, red zones, and underdeveloped areas, and to use placement parking away from other vehicles to prevent scratches or dents. Off-road driving and driving through high water are strictly prohibited at all times; you will be held fully liable for any resulting damages.

You agree not to text and drive and not to deviate from approved business routes or destinations outside the specified locations, approved apps, or the thirty (30)-mile service radius. You agree to maintain a daily earnings quota of at least $250.00 and to complete at least forty-five (45) hours per week on the approved rideshare / hailing apps that you provided as proof of employment / income. Active approved employment is required to qualify for and continue in the rental program; otherwise your account may be suspended or deleted at any time without notice or reimbursement. Business rental hours must match your rideshare app hours. You agree to use the vehicle for no more than twelve (12) hours of approved business-rental driver usage only, without deviation unless prior written permission is granted. Unauthorized deviation is subject to a fine of up to $250 per occurrence and possible contract termination.

3. FREE CHARGE (LIMITED-TIME INCENTIVE ONLY)

Free Charge is offered for a limited time only and is not guaranteed for the full length of any selected package term. It may be discontinued at any time without notice. TAKE OFF will provide or credit only one (1) free full charge to 85% per car per day. You will be held fully liable for all other EV battery charges exceeding the one free charge; such amounts will be immediately debited and must be paid the same day or within twenty-four (24) hours, or account access will be suspended, denied, or deactivated until the account reaches a $0.00 balance.

You agree not to charge the vehicle above 85% more than two (2) times daily and to keep a credit / debit card on file authorizing automatic charges by TAKE OFF at any time. Default of any kind requires payment within twelve (12) hours or the vehicle and account may be suspended, forfeited, and repossessed. Maintain at least two (2) days of your daily payment amount in the account to minimize defaults. After fourteen (14) days of Free Charge eligibility (if offered), you must apply your own card for all subsequent charging costs. All offers are limited-time only.

4. PRE-PAID FEES AND REIMBURSEMENT

Any fees that TAKE OFF conveniently pre-pays on your behalf (including tickets) are advanced solely so that you may focus on work, avoid penalties and interest, and stay current. Those costs will be deducted in full from your account and reimbursed in cash to TAKE OFF at any time. All package prices and incentives are limited-time only and subject to change without notice.

5. PAYMENTS

As an independent contractor, you consent and agree to keep and maintain at least $300.00 on the card initially used to set up your account (or any replacement card) so that there is no default in recurring payments. You may designate two payment methods (one primary and one backup). Defaults, overdrafts, reconnection fees, and Early Termination Fees of up to $500 may be applied by TAKE OFF; your financial institution may also assess fees if you default or remove a payment method.

Our recurring-payment policy is strict. You agree to pay all daily payments on time via auto-pay. Failure will result in a PIN-CODE warning delivered up to three (3) times (with a $25 penalty each time), after which you will be completely locked out. Three lockouts require payment of a Reconnection Fee plus the full outstanding balance before reactivation. No exceptions.

You consent to allow TAKE OFF bank access to confirm work earnings at any time upon request, and to keep a card on file with a sufficient balance of at least $300.00 for all deductions, fees, withdrawals, daily payouts, and car charges. You authorize TAKE OFF INC. / Stephanie White / Marcus Williams / Stripe to withdraw, receive, and maintain recurring payments of up to $125.00 (and in no event less than $108 or more than $150) each day, seven (7) days per week, for the entire selected rental duration. Removal of the payment method constitutes a violation and triggers a $150 fine per occurrence.

You further authorize TAKE OFF to debit or charge any fees from your debit / credit card or bank account, using the personal information on file, for daily rental payments and all associated expenses including but not limited to EV charges, Wi-Fi, towing, repairs, late / reconnection fees, accident claims and deductibles, court fees, or any other costs necessary to keep the vehicle operational.

You agree to provide a weekly printout of days and hours actively worked on approved platforms (Uber, Lyft, DoorDash, and other platforms expressly approved by TAKE OFF). Failure results in an automatic $100 weekly fine. A $50 daily fine will be assessed if the card is frozen, removed, or payment is unobtainable when the system attempts a deduction. All deposits, consultation fees, processing fees, and daily rental fees are final and non-refundable if background checks, insurance, identification, or proof of income cannot be verified or are invalid. No exceptions. Maintain at least two (2) days of daily payment amount in the account at all times.

How to Cash Out Daily (Uber Driver App example)

Tap the Menu icon (three stacked lines) in the top left corner → Select Wallet or Earnings → Tap Cash Out → Choose the debit card or bank account → Tap Confirm.

Costs: Instant Pay (personal debit card) typically $1.25–$1.75 per transaction (free in some markets); Uber Pro Card offers free automatic instant payouts; Standard Direct Deposit is free but takes several business days. We strongly recommend daily Cash Out to minimize late fees and default risk to TAKE OFF.

6. LOCKOUTS

If any balance or outstanding fees are overdue, a PIN-CODE indicator will appear as a warning and you will be unable to operate the vehicle until the account is at a zero balance. Excess accumulated fees result in full lockout and loss of account / vehicle access. Two or more defaulted / missed payments result in immediate denial of access, a $25 late fee, and a $150 Reconnection Fee, all of which must be paid in full before reactivation. TAKE OFF reserves the right to cancel the account and confiscate / retrieve the vehicle at any time, for any reason, without notice and without refund. You must pick up the vehicle if access is later restored.

You agree to remove all personal items before exiting the vehicle. Leaving personal belongings results in a $25 fine plus other penalties. TAKE OFF, its staff, and affiliates shall not be liable for any loss, theft, or disposal of unattended, stored, or misplaced personal items left in or around the vehicle; such items may be discarded without notice. Sleeping in the vehicle or using it as living quarters is strictly prohibited and will be penalized. No exceptions.

7. RADIUS

You agree not to drive any TAKE OFF vehicle outside the District of Columbia, Maryland, and Virginia (DMV) area or outside a sixty (60)-mile radius without explicit prior written and documented consent and payment of an additional $500 fee. Unauthorized travel triggers a $500 fine and lockout without notice. No exceptions.

8. INSURANCE

Using the links provided below, you agree to establish, activate, and maintain valid supplemental insurance (Non-Owner, Commercial, or Personal Full Coverage) in your name. You must add the specific vehicle you select as an “Extended Rental Coverage” with rideshare endorsement, comprehensive, collision, and physical-damage coverages. Use the vehicle information at the top of this Agreement. Contact support at (202) 627-0079 if assistance is needed.

TAKE OFF reserves the sole discretion to provide or withhold insurance coverage or to add you to its own policy. Failure to obtain required coverage in a timely manner results in disqualification without refund for Non-Insurance Compliance (a necessary state-law requirement). It is your sole obligation to obtain and provide proof of personal / commercial insurance to TAKE OFF before driving.

If you deviate from the Permissive Use terms or approved routes / destinations, TAKE OFF INC. / Stephanie White / Marcus Williams shall have no liability for traffic fees, citations, accidents, insurance coverage, personal injury, or property damage. You agree to return all items left in the vehicle to their rightful owners (or notify TAKE OFF staff) within twenty-four (24) hours or be fined. You agree to remove the vehicle from the charge station immediately after charging or incur a $25 Idle Fee.

You will be held fully responsible for lost, stolen, vandalized, or total-loss vehicles, GAP insurance shortfalls, rim / tire / brake damage, and technical / battery repairs. Insurance coverage will not extend to you if you operate outside the agreed twelve (12)-hour rental period or for personal use. When any TAKE OFF owner or designated staff member is present in the vehicle, that individual has relinquished control and shall not be held liable for any damages, violations, or accidents arising from your negligence. All TAKE OFF staff and affiliate passengers must be prioritized over all other pick-ups / drop-offs.

9. LIABILITY CLAUSE

All traffic / moving violations, tickets, battery damage / replacement, brakes, and all interior / exterior damage will be assessed to your account at the full cost of repair. You remain fully liable for all such costs, as well as loss of key cards or other issued equipment, even if you opt out of the contract. Leaving personal belongings in the vehicle results in a $25 fine. No exceptions.

10. PERMISSIVE “LIMITED AND RESTRICTED” USAGE

Your rental usage times and itinerary must match your hours of rideshare business usage on Uber, Lyft, DoorDash, or other apps expressly approved by TAKE OFF. Selecting and paying for a rental does not authorize immediate possession; same-day / same-time written consent from TAKE OFF is still required. Up to two to three (2–3) business days may be needed for scheduling, vehicle availability, payments, drug / alcohol testing, background checks, driving-record verification, proof of employment / income, insurance, and vehicle preparation. Taking possession without such consent may result in a fine of up to $500 and civil / criminal action.

Any disorderly conduct, misconduct, negligence, misuse, misplacement, loss, damage, or mismanagement of vehicles or contents will not be tolerated and may result in a fine of up to $500, suspension or deactivation without notice or refund, and legal action. TAKE OFF reserves the right to update, modify, change, terminate, or revise any terms, times, or conditions at any time without notice. Vehicles may only be driven on approved Uber / Lyft tiers; some models do not qualify for Uber Black. Tiers, qualifications, rental costs, and pay are subject to change without notice or reimbursement. There are no refunds.

You agree to accept all rides to maximize performance, revenue, operations, and profits. Failure may result in a $150 fine, suspension, vehicle retrieval, and lockout without notice. You must return all keys, key cards, garage access devices, building fobs, and uniforms immediately to TAKE OFF INC. / Stephanie White / Marcus Williams only or face a fine of up to $500 and possible criminal charges.

You agree not to sleep in the vehicle except while charging at a station, and not to use Full Self-Driving (FSD) mode unless on a highway and fully alert with both hands at the 9-and-3 position ready to take control. Unauthorized FSD use results in a $150 deduction. You may take only two (2) thirty (30)-minute charge breaks (if needed) at the closest Tesla Supercharger, charging to no more than 85% and never allowing the battery to fall below 20%. Violation results in a $150 deduction. Battery destruction results in a charge of $1,500 or half the replacement cost.

You agree to obey all laws and not to drink, smoke, or use any medication that could impair performance during or after usage. Sleeping in the car at any time is strictly prohibited and results in a $250 deduction. You agree to wear a mask upon request, keep hair tied back, and wear the uniform at all times. All accessories, decals, licenses / permits, and company uniforms are property of TAKE OFF and must be returned.

Vehicles must be kept clean by going through any Mr. Wash (brushless) Car Wash and then performing a self-service spray / Clorox wipe-down of mats and vacuuming every other day (Monday, Wednesday, Friday) or at least two days (Monday and Thursday) at the closest Mr. Wash or Silver Spring location only. Missed occurrences result in a $100 deduction each.

Consent is granted only for approved business / rideshare scheduled use for up to twelve (12) hours daily, five to seven (5–7) days per week, between approximately 4:00 a.m.–4:00 p.m. and 4:00 p.m.–4:00 a.m. Most drivers break for lunch while charging or travel to transfer the vehicle to a designated TAKE OFF approved locations, dirvers, reps or affiliates. You agree to share the vehicle on “TEAM DRIVE” with drivers selected by TAKE OFF at any time for any job or reason, remaining inside the DC / MD / VA area and within a fifty (50)-mile radius, using only approved platforms listed in your profile upon signup (currently Uber, Lyft, DoorDash, Empower, MealsNow Catering, and other apps or driving designated TAKE OFF staff / clients. NO SHARED DRIVER/CAR/APP ACCESS IS ALLOWED UNLESS SENT BY TAKE OFF INC. or Authorized Representative. No-one is authorized to operate or drive the vehicle one renter possess until secondary users have obtain a authorized account and fully vetted and approved with all active and valid documents that is required to gain legal possession. All drivers must be screened and all are required to submit documents and undergo screenings and trainings before access can be granted or use of vehicle can be permitted in any way. All Accounts must be approved before possession is authorized or you will be held liable for all loss, claims, damages and any other associated fines and fees that you or any other unauthorized user has accumulated while illegally obtaining, possessing, accessing, driving and breaching any of the TAKE OFF Inc company policies to the maximum extent of the law. Anyone looking to take full possession and drive must have a brief walk through of all Tesla Operations and video training first before official TAKEOFF is approved. All Cameras and its media coverage are not to be covered, disarmed, abused, shared or deleted in any way or you will be fined up to $1000, suspended or immediately deactivated. If these or other company terms/policies are broken in any way you will be subject to additional fees, fines and deactivated. Unauthorized Consent to possess or operate are vehicle is a felonious crime of "Theft". Again, Shared Access is Unauthorized unless verbal & written authorization from TAKEOFF INC. has been given after full screenings.

All renters/drivers must prioritize all TAKE OFF Inc., staff and affiliate passengers (via the TAKE OFF App) over all other work or clientele. “Permission” under this Agreement is limited and does not authorize personal use, which is forbidden to minimize tickets and vehicle miles, wear and tear. Violation of any term may result in suspension, fines, termination, or criminal action. Fines and disciplinary measures exist solely to enforce high standards of responsibility and service that keep maintenance low and operations high. You further agree not to exceed speed limits or drive in harsh / hazardous weather (tornadoes, severe rain / snow, etc.).

All vehicles are rented “As-Is” with a full safety inspection provided. You have been trained on safe operation and safety procedures. TAKE OFF shall not be held liable for any injuries, malfunctions, wrongful death, or claims related to the vehicles. By checking the box and signing, you acknowledge that TAKE OFF may confiscate, swap cars / models, or perform random maintenance at any time for any reason without notice.

11. TRAFFIC TICKETS, CITATIONS, AND EMPLOYMENT

A poor driving record, outstanding tickets, infractions, or background issues may result in limited use, restrictions, or termination at TAKE OFF’s sole discretion at any time. The same applies to fluctuating / unstable or unapproved employment and late or missed client obligations. Tickets, tolls, insurance, maintenance, and charging costs are incorporated into your daily fees to help you stay current and protect your reserved time slot. Removing your card releases your reserved time slot, making it immediately available to the next driver on the waiting list and potentially terminating your access.

12. PRIOR AGREEMENTS AND REVISIONS

All previously implied or expressed usage permissions and habits are hereby revised and updated. Prior contract terms remain valid as addenda if you were previously contracted under similar terms. This Agreement may be revised, updated, extended, or terminated by TAKE OFF at any time at its sole discretion without notice. You are not permitted to illegally possess, store, keep, sublease, rent, operate, or attempt to operate any vehicle belonging to TAKE OFF INC. / Stephanie White or its rightful owners without permission and express consent. You must return the vehicle at any time upon TAKE OFF’s request or face fines or criminal prosecution. Call to cancel at least three (3) business days before the end of your Rental Duration; otherwise, by signing you consent to automatic renewal of the full terms and payments.

13. VEHICLE PICK-UP / DROP-OFF LOCATIONS

You agree to pick up and drop off vehicles at the nearest Metro / MARC / Light Rail train station parking lot / garage or at any location approved by TAKE OFF closest to your final destination, by the end of your twelve (12)-hour rental period, with photo / video of the car and location, unless otherwise specified. Locations may vary at any time. Do not stage, park, or temporarily leave vehicles in tow zones; you will be held fully liable for any resulting tickets or tows.

14. SECURITY / AUDIO / VIDEO RECORDINGS AND PROMOTIONAL CONSENT

You consent to wear the specified TAKE OFF uniform and accessories for branding and promotion. You further consent to be audio- and video-monitored / recorded by any devices selected by TAKE OFF at any time, 24/7, without warning or notice. You agree to immediately download and activate Life360, an AirTag, or any other tracking device required to maintain active location sharing. You agree to purchase a TAKE OFF-approved DashCam at any time and never to deactivate, cover, turn off, disconnect, or remove the DashCam or any other aftermarket items (refrigerator, mats, seat covers, bed, phone mounts, chargers, decals, etc.). Violation results in a fine of up to $1,000 or the full value of each damaged or missing item, plus possible criminal action.

You agree to take full 360° angle pictures / video of the vehicle before and after each use to avoid damage liability; any damages will be billed to your account. You consent to TAKE OFF’s use of your face, likeness, and image in all TAKE OFF and related media (social media, commercials, promotional advertisements, flyers, posters, etc.) at any time. You agree to attend all company events and Zoom meetings at TAKE OFF’s sole discretion and to participate in all social-media promotions, including Following, Sharing, and Referring people to RENT, DRIVE, OR RIDE with @TAKEOFFElites on Instagram and other platforms designated by TAKE OFF. Vehicle images displayed may not be the exact year, make, model, or specifications; they are representative only and subject to change without notice due to maintenance, recall, or any other reason.

15. DRUG AND ALCOHOL SCREENINGS

You represent that you have no current or prior use or addiction to alcohol or drugs and are not a known habitual user of any illicit stimulants or substances. You agree to take random alcohol / drug tests before and after operating vehicles and to submit photo / video or live recordings of results at any time upon request, as well as any medical reports requested by TAKE OFF, especially before or after any damage, accident, or infraction or any other reason to validate you are not inebreated Or incompacitated and present and coherent when operating our vehicles.

You are strictly prohibited from using or consuming any illicit substances, medications, stimulants, or depressants (including drugs or alcohol) that could impair judgment or safety before, during, or after vehicle use. Detection of alcohol or drugs (by smell, appearance, or any other means) will result in immediate denial of access, possible suspension or termination, fines of up to $500 per occurrence, and possible legal action. Driving while impaired is illegal. Other driver infractions or background / screening results may limit, restrict, or terminate access without refund.

TAKE OFF INC. and its staff / affiliates have no actual or imputed knowledge of any mental, physical, or criminal risks associated with you and shall not be held liable for any drug-, alcohol-, or substance-related civil or criminal charges, violations, actions, fines, or fees of any kind at any time.

16. ADDITIONAL TERMS, ADDENDA, AND ACKNOWLEDGMENTS

By checking the box or signing this Agreement, you acknowledge that each Additional Addendum attached (or later attached) forms part of this Agreement. You have read and agree to all provisions in this Term Sheet and all Additional TAKE OFF Inc. Addenda.

All previously implied or expressed usage permissions and habits are revised and updated. Prior contract terms remain valid as addenda. This Agreement may have addenda added and may be revised, updated, extended, or terminated by TAKE OFF at any time at its sole discretion without notice. TAKE OFF reserves the right to limit or remove access to anyone reasonably believed to have engaged in any prohibited or illegal activities.

You are not permitted to illegally possess, store, keep, sublease, rent, operate, or attempt to operate any vehicle belonging to TAKE OFF INC. / Stephanie White without permission and express consent. You must return the vehicle upon request or face fines or criminal prosecution. Driver’s license validity, driver record, drug / alcohol, and background checks may be used at any time to determine eligibility. Contract terms, fees, and rental usage are for one hundred eighty (180) days and automatically renew for an additional one hundred eighty (180) days unless cancelled.

You consent to adhere to all terms, conditions, maintenance, and training notifications. You represent that you have no medical conditions, ailments, or disabilities that could impair driving or performance and no disqualifying points on your driver record. TAKE OFF reserves the sole right to allow, permit, consent to, deny, suspend, cancel, or terminate any usage, access, profile, or contract at any time for any reason without refund, warning, or notice.

Eligibility to own a vehicle after one year of satisfactory service is possible but not guaranteed. Cars, passengers, eligibility, and availability are not guaranteed; years, makes, and models may vary, and you must accept whatever is currently available. TAKE OFF makes no promises or guarantees of clients, routes, increased pay, or return on any verbal or written arrangement. The business model is unpredictable and may become unsuccessful or unprofitable at any time. All tasks and obligations listed herein are mandatory.

TAKE OFF and its staff are not attorneys and do not give legal advice on investments or dealings without a separate written and signed agreement from the Owner. Any information provided is for promotional use only and is received at your own risk. You confirm that you have had adequate time to read, review, and fully understand all terms and impacts of this Agreement and that you willfully sign and adhere to all terms without legal representation. You represent that you are a U.S. citizen over the age of eighteen (18), acting in your own name, and that all information, statements, answers, and consents are true and complete to the best of your knowledge under penalty of perjury and shall be enforceable in any court of law. Any legal action involving TAKE OFF INC., its staff, affiliates, or employees shall be resolved through individual arbitration, out of court.

We operate on a first-come, first-served basis. A substitute or loaner vehicle may be issued if available.

Note – Non-Refundable Fees

All license, certificate, deposit, consultant, administrative, processing, and other fees are non-refundable (NO REFUNDS), whether an application is approved, denied, cancelled, withdrawn, inactive, or incomplete, even if multiple applications are submitted or the applicant becomes ill or incapacitated. Sales and payments are final.

Uber, Lyft, Empower, Amazon Flex, Sparkd, Shippd, Medical Couriers, Owner.com, ezCater, DoorDash, Uber Eats, Grubhub Catering, Seamless Catering, CaterCow, ZeroCater, Fooda, Hungry, DeliverThat, Instacart, DoorDash Catering, Uber Eats Catering, Honeygrow, and other livery / rideshare services that TAKE OFF may approve or disapprove upon notice or request. Double-app / team-drive sharing with approved family / friends (maximum two persons per car) is permitted only during designated Team Drive time slots. Exceeding seat-belt / vehicle capacity is illegal and prohibited under all circumstances.

Administrative and Processing Fees cover time, labor, research, development, consultations, advice, contract structuring, legal assistance, and any other company resources used for your benefit. All terms, offers, fees, subscriptions, and charges are subject to change or termination at any time at TAKE OFF’s discretion without notice. Used vehicles may be eligible if currently inspected. Baseline vehicle requirements are generally 10 years old or newer, four-door, and in good cosmetic condition.

DRIVER PASSENGER INITIATIVE & DISCLAIMER:

By viewing, reading, or participating in any way—including by checking this box and/or by signing or e-signing—you understand, acknowledge, and irrevocably agree to the following:

All fees, payments, gifts, money, or other consideration of any kind whatsoever—including but not limited to vehicle-related fees, vehicle repair fees, vehicle transportation fees, penalties, daily rental or use fees for vehicles, all earnings, hourly pay, tips, investment funds, sponsorships, transactions, fundraisers, or any other funds given directly or indirectly to help maintain the full daily operations of TAKE OFF INC.—shall be accepted, received, and conclusively deemed to be voluntary Donations and/or Contributions to the initiative of raising awareness to help “Save Drivers that are under/unfairly paid and Fear Robot Job Replacement.”

These Donations and/or Contributions are made in exchange for independent driver transportation services provided to passengers who willingly choose to donate directly to the independent driver of their preference. Once any such payment, gift, money, fee, or other consideration is submitted or transferred, it is non-refundable, non-recoverable, and becomes the sole and exclusive property of TAKE OFF INC. TAKE OFF INC. retains full discretion over the use, allocation, and disposition of all such Donations and Contributions.

Independent Contractor Classification

All drivers providing transportation services in connection with TAKE OFF INC. are, and shall remain at all times, independent contractors and not employees, agents, partners, or joint venturers of TAKE OFF INC. Nothing in this agreement or in the parties’ course of dealing shall be construed to create an employer-employee relationship of any kind.

Independent contractors:

Retain sole and exclusive control over the manner, means, and methods by which they perform transportation services, subject only to general safety and operational guidelines.

Are solely responsible for all taxes, withholdings, insurance (including liability, workers’ compensation, and health), licenses, permits, vehicle maintenance, fuel, and any other costs or obligations arising from their services.

Are not entitled to any employee benefits, wages, overtime, unemployment compensation, or any other compensation or benefits from TAKE OFF INC.

May provide services to other companies or platforms at any time and are free to accept or decline any request for services.

Acknowledge that TAKE OFF INC. does not withhold taxes, provide tools or equipment (except as may be separately arranged), or exercise day-to-day control over their work.

TAKE OFF INC. shall have no liability whatsoever for any acts, omissions, negligence, or misconduct of any independent contractor, or for any claims arising from the independent contractor’s performance of services. Independent contractors agree to indemnify, defend, and hold harmless TAKE OFF INC., its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to their services or classification.

Driver Compensation

Independent contractors acknowledge and agree that they receive no wages, salary, hourly pay, guaranteed earnings, or any form of compensation whatsoever from TAKE OFF INC. Any money, tips, gifts, or other consideration that an independent contractor may receive comes solely and exclusively from voluntary Donations and/or Contributions made directly by passengers to the independent contractor of their choice.

TAKE OFF INC. does not set, control, guarantee, process, collect, or distribute any compensation to independent contractors. TAKE OFF INC. makes no representation or warranty regarding the amount, frequency, or likelihood of any Donations or Contributions that an independent contractor may receive. Independent contractors are solely responsible for collecting, tracking, reporting, and paying all applicable taxes on any amounts they receive from passengers.

Nothing in this agreement creates any right, claim, or entitlement on the part of any independent contractor to receive payment, reimbursement, or any other form of compensation from TAKE OFF INC. All funds of any kind that are directed to or retained by TAKE OFF INC. remain Donations and/or Contributions to TAKE OFF INC. and are not wages, earnings, or compensation owed to any independent contractor.

This agreement shall be governed by, and construed in accordance with, the laws of the State of Maryland, the Commonwealth of Virginia, and the District of Columbia, without regard to conflict-of-law principles. You hereby waive any claim, demand, or cause of action against TAKE OFF INC., its officers, directors, employees, agents, successors, and assigns arising from or related to the characterization, acceptance, or use of any such Donation or Contribution, the independent-contractor classification of any driver, or any matter concerning driver compensation.

By checking this box and/or signing/e-signing, you confirm that you have read, understand, and voluntarily agree to be bound by all of the foregoing terms, which are intended to fully protect the best interests of TAKE OFF INC. at all times.

BY CHECKING THE BOX, ELECTRONICALLY SIGNING, OR TAKING POSSESSION OF ANY VEHICLE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS ENTIRE AGREEMENT (INCLUDING ALL ADDENDA), FULLY UNDERSTAND IT, AND AGREE TO BE LEGALLY BOUND BY EVERY TERM AGREEING THAT NO PROMISES OR GARAUNTEES HAVE BEEN MADE TO YOU. ALL TERMS ARE INTENDED TO PROTECT THE BEST INTERESTS OF TAKE OFF INC. AND TO HOLD YOU FULLY LIABLE FOR ANY VIOLATION OR OCCURRENCE ARISING FROM YOUR USE OF THE VEHICLE.
