In reading, viewing/signing this agreement you agree that as a renter/operator and independent contractor you are in no way an employee of TAKEOFF, in any way. You agree to adhere to all terms and operate all TAKEOFF vehicles under this exclusive restricted "Permissive use” agreement for the full terms of use with annual renewal each consecutive year after if not cancelled within (14) days of the Rental renewal time-frame youve selected. You agree to "be on time" to Pick-Up/Drop-Off all clients/passengers including TAKEOFF Staff/affiliates with/without pay any time upon TAKEOFF request. You agree not to use vehicles for “personal use” as you understand & agree that you will not be legally covered/insured for the use thereof and it is illegal to operate outside of rental business hours and you will be held fully liable for any occurrences as you agree to drive at your own risk, unless explicit written permission has been authorized. You agree to review & complete the Grey Manual with the letter "i" on it located in the dock on the bottom row of the EV screen before physically driving the vehicle and a (1) hour operator training course in person, online or video review with TAKEOFF Inc. at any time upon request. I agree to remain enrolled in either the Plan you choose for a minimum of 12 months or until rental length ends. If you choose to terminate your contract you can do so with a 90 day notice but you will be fined/charged a "Early Termination fee" for half of the remaining fees that were not fulfilled/recieved within the chosen timeline.
USAGE: All Drivers/Renters/Operators understand & agree to maintain atleast $260.00 or more daily productivity quota/earnings to assure sufficient funds remain in your established account for recurring pkg debit/payments and are always on time and your account stays active as missed payments will result in a automatic lockout at anytime without notice to you. You agree to do a vehicle checklist/ walk-around and send a photo/video of any visible damages you may have seen or obtained before/after your use to avoid penalties to your account. You agree to report all accidents to police and TAKEOFF by contacting TAKEOFF supervisor first priority for further instructions. Never admit guilt or submit statement without an attorney listed below, as we do not give legal advice. You understand and agree not to lend, sublease, lose, drop-off, leave fobs, keys/card, transfer vehicle or give driver possession to any other uninsured, unauthorized, unapproved individual without TAKEOFF Inc. express written and stamped consent or your agreement will be suspended, terminated and you will be fined $500 and held fully responsible for any and all damages/legal fees and also subject to legal actions. All members of TAKEOFF must Follow, Repost, do commercial video/Pic post wearing Company Logo Shirt and Pass out atleast 10 Flyers Weekly to potential passengers. You agree not to carry more than (4) passengers for a total of (5) including driver while transporting passengers in the vehicles unless otherwise specified. You agree to read, road test, book test, or even a TAKEOFF driving manual training course before taking possession of any TAKEOFF vehicles. You agree to take high safety precautions to avoid all pot wholes, ditches, construction zones and uneven roads/pavements, alleys, parking areas, red-zone/Construction Zone areas and all under developed areas and use placement parking away from others so you and others don't scratch/dent our vehicles. Off road driving and driving through high water is not allowed at no time and strongly prohibited or you will be held fully liable for damages. You agree not to text & drive or deviate from business to personal/ social usage, whether routes/destinations with vehicle to locations outside of specified locations, UBER or other approved app locations or outside a 50-mile service radius area. You agree to maintain a $250.00 or more daily earning quota and complete atleast 45 or more hours a week through the rideshare/hailing apps that you provided as proof of employment/income that we approved as your active employment is necessary in order to qualify and continue our rental program or your account will be suspended/deleted at anytime without notice or reimbursement to you. You also agree to business rental hours must match the rideshare app hours further agreeing to use this vehicle for 12 hours of business-rental driver usage only without diviating or you will be fined for each occurrence up to $250 or contract could terminated at anytime.
PAYMENTS:
You consent & agree to keep at least $300.00 on the card that you initially set up your account with so there is no default in recurring payments from your account(s) as you may be given two payment methods using one as your default payment method and the other as backup. Over-draft, Reconnection and Early Termination fees of up to $500 will applied by TAKEOFF Inc. Or your financial institution may also apply fees if you default or remove your payment method from either. You agree & consent to allow TAKEOFF bank access to confirm work earnings at any time upon request also agreeing to keep card on file and connected with sufficient funds/balance of atleast $300.00 to be used for all deductions, fees, withdrawls, daily payouts and Car Charges You agree to allow TAKEOFF Inc./Stephanie White/Marcus Williams/Stripe to withdrawal, receive and maintain recurring payments from your bank/rideshare or any other designated accounts you've attached by keeping an active Payment CashOut Card/Account attached without removal for auto daily donation deductions of up to $125.00 and no more than $150 (7) days weekly from your rideshare/debit card/bank account for the duration of the rental time you've selected without removal or you will be held in violation/ fined $150 on each occurrence. You agree to provide a weekly print out of days/hrs worked by you on our approved rideshare platforms UBER/LYFT/Doordash Only or you will be automatically fined $150 daily if its removed and your vehicle/account access will be locked out. You also understand and agree that if background check insurance, iD or proof of income/UBER/LYFT rideshare accounts documents etc can not be verified all deposits, consultation, transactions, processing and daily rental fees are all Non-Refundable, and will not be returned in any way, No Exceptions.
INSURANCE:
Using the Information Links provided below, You agree to establish and activate the best Suplemental Insurance, "Non-Owner Insurance or Commercial/Personal Full Coverage policy" in your name or using a major credit card for discounts when activating your new policy. TAKEOFF will reimburse half the initial cost of your new policy, if needed. Please use the vehicles information at the top of this agreement for Our Newest Tesla Models in order to initiate your insurance which must have a rideshare endorsement, comprehensive collision and physical damage coverages call our support team if you need help at (202)627-0079. You understand and agree that TAKEOFF reserves the right to provide or not provide you with insurance policy or coverage or add you to our own at our sole discretion. If you delay, become non responsive or fail to obtain coverage you will be disqualified without refund for "Non-Insurance Compliance" which is a neccessary requirement by state law. It is your obligation to obtain/provide personal/commercial insurance coverage to TAKEOFF in a timely fashion in order to obtain/ drive our vehicles. Please have all required documents in order to allow us to process & expedite your request adequately.
You understand and agree that there are limitations/restricted use of this rental/vehicle and if you elect to deviate from Permissive usage contract/ terms or the approved rideshare routes/destinations TAKEOFF Inc./Stephanie White/Marcus Williams will not be held liable for traffic fees/citations, accidents or insurance coverages loss, personal, physical injuries or damages at any time. You understand and agree to return all items left in the car to their rightful owners notifying them of their lost aswell or you will be fined. In signing this agreement and activating your payment you understand and agree that you will be held fully responsible for Lost, Stolen, Vandalism, Total Loss, Gap Insurance, Rim/Tire/Brake damage, Technical/Battery Repair. You agree not to use the break as you understand to slow the Insurance Coverage will not be extended to you especially if you operate outside of the agreed (12) hour rental period, personal use is strongly prohibited as you will not be covered and driving at your own risk which is illegal. When TAKEOFF owner(s) or specified staff are present in vehicle during rental time/travel it is understood and agreed that owner has given up control, or is unable to exercise control over driver/vehicle and shall not be held liable for any damages, traffic violations or accidents civil/criminal at any time due to your negligence further agreeing that all TAKEOFF Staff/ affiliates must take priority over all other Pick-Ups/Drop-Offs on apps or daily Free, courtesy company rides with a potential for tips.
LIABILITY CLAUSE
In signing below you understand and agree that All Traffic/Moving violations/ Tickets, battery-damage/replacement, brakes and all interior/exterior damage will be assessed to your account to the full amount of repair costs as you will be held fully liable for all those repairs, damages, loss of key cards or other equipment issued to you as its your sole responsibility to repair even if you opt out of contract.
Permissive “Limited & Restricted” Usage
You understand, agree and consent to adhere to and follow these terms agreeing that your rental usage times/itinerary must match/align to your hours of rideshare business usage on UBER,LYFT, Doordash or other apps TAKEOFF approves for you only. You understand and agree that once you select a rental and pay you still must get same day/time consent before actually taking full possession of our rental vehicles allowing up to (3-5 business days) before actually retrieving/possessing the vehicle to allow scheduling, vehicle returns/availability, payments, drug/alcohol test, background check, driving record, proof of employment/income, insurance, fines, fees, vehicle maintenance/cleanup to be fully verified, cleared and completed with a "same day consent" from TAKEOFF owners in order to actually take physical possession of our vehicles or you will be fined up to $500 and civil/ criminal actions could be taken against you. Any disorderly conduct/misconduct personal property negligence, misuse, misplacement, losses, damages or mismanagement of our vehicles or the contents thereof will not be tolerated and you will be fined up to $500, your account will be suspended/deactivated without notice or refund to you and legal action could also be taken against you. TAKEOFF reserves the right to update, modify, change, terminate or revise terms, times and conditions at any time without notice to you. You further understand and agree that our vehicles can only be driven on all approved UBER/LYFT tiers as some of our current models dont qualify for UBER Black and tiers, qualifications, rental costs and pay are all subject to change at any time without notice or reimbursement of recurring payments to you as there are no refunds, please be advised. You agree to accept all rides to maximize & maintain performance, revenue, operations and profits or you will be fined $150 and your account could be suspended, vehicle could be retrieved and access will be locked out without notice to you. You agree to return all Keys, Key Cards, Garage access, building fobs and Uniforms Issued to you along with the vehicle immediately to TAKEOFF Inc./Stephanie White/Marcus Williams Only or you will be fined no more than $500 and could be criminally charged. You agree not to sleep unless at charge station charging or use "Full-Self Driving Mode" (FSD) unless on highway and fully alert with both hands rested at (9-3) ready to take control at all times or you will be fined $150 deduction from your pay. You also agree to take only two (30) minute "Charge breaks" (if needed) at the closest Tesla SuperCharger while charging no more than 85% never allowing battery to get any less than 20% or you will be fined $150 deduction. If battery is destroyed you'll be fined $1500/charged half the cost of the replacement battery. You agree to obey all laws and not to drink, smoke or use medication that could impair you/performance uasge. You agree not to sleep in the car at anytime as it is strongly prohibited or you will be fined a $250 deduction out of your pay. You further agree to wear a mask upon request and keep hair tied down and wear uniform at all times. You agree to return all accessories, decals, licenses/permits, company uniforms Issued as it is property of TAKEOFF Inc. You agree to keep vehicles clean by going through any Mr. Wash Car Wash (Brushless Carwash and then go to a self service CarWash to "Spray/Water CloroX Wipe down Mats & Vacuum car" every other day starting (Mon, Wed, Fri) or atleast 2 days Mon & Thurs at the closest Mr. WASH locations Or Silver Spring ONLY or you understand you will be fined with a $100 deduction for each missed occurrence. TAKEOFF Inc./ Stephanie White/Marcus Williams only give consent to these “Permissive Use” terms to renter/drivers for approved business/rideshare schedule use of our vehicles for (9) hours, (7) days a week between 4AM-1PM, 1PM-10PM & 10PM- 4AM (Part-time) with (1) hour to break for lunch while charging and or travel to transfer vehicle to a specified TAKEOFF staff/location. You agree to stay inside the DC, MD, VA states operating within a (35-mile) travel radius in any direction using only approved and specified rideshare/livery apps, which are currently: “UBER/LYFT/DOORDASH/EMPOWER” or driving designated TAKEOFF Inc. staff, clients/destinations only. You agree and are required to prioritize all TAKEOFF Inc. Staff/Affiliates Passengers Pickup/Drop-Off on TAKEOFF App first over all other work, apps/clientele you may have. You understand and agree that “Permission” to do certain things isn't permission to do all things as “personal use” is forbidden and strongly prohibited to help keep tickets and vehicle wear & tear down. If found in violation of any of these terms here-in a suspension, fines, termination or even criminal actions could be taken against you as fines, fees, structure or disciplinary actions are not to provoke, intimidate or attack users but they are present to enforce a high level standard, responsibility and services which helps maintain a low level matainence and high level up keep & operations for all. You further agree not to driver over speed limits or in harsh/hazardous weather conditions tornadoes, severe rain/snow etc.
Traffic Tickets Citations/Valid Employment
You understand and agree that If at anytime you have a bad driver record or outstanding tickets or other infractions/background could allow us to provide you with only limited use/restrictions or none at all with termination at our sole discretion at anytime. This also applies to fluctuating/unstable or other unapproved Employment, late or missed client obligations.
All previously implied/expressed “usage, permissions/habits” has now been revised/updated and contract terms and agreement lengths are still valid addendums to the original contract if you were previously contracted by TAKEOFF under similar terms. You agree that this contract can be revised, updated, extended or terminated by TAKEOFF Inc. at any time at our sole discretion without notice to you. You understand and agree that you are not permitted to illegally possess, store, keep, sublease, rent, operate, drive or attempt to drive a vehicle belonging to TAKEOFF Inc./Stephanie White or its rightful owners without permission & expressed consent. You also understand and agree that you must return the vehicle at any time upon TAKEOFF request or be subject to fines or criminal prosecution. Call in to cancel at anytime (5) business days before your "Rental Duration" ends or with your signature and agreement you agree and consent to automatically renew the full terms of this agreement and payments annually.
Vehicle Pick-Up/Drop-Off Locations:
You agree to Pick-Up/Drop-Off our vehicles at the nearest Metro/Marc/Lite Rail train station(s) parking-lot/garage or areas we approve, closest to your final destination by the end of your 12-hour rental time with photo/video of car & location unless Pick-Up/Drop-Off Location is otherwise specified by TAKEOFF which can very at anytime.
Security/Audio/Video Recordings:
In signing this agreement, you understand, consent and agree to wear specific TAKEOFF uniform/accessories to help brand/promote platform and its services. Further agreeing and consenting to be audio/video, monitored/recorded by any eligible/selected devices we choose at any and all times for any reason by TAKEOFF Inc./Staff affiliates without warning/ notice to you. You agree to immediately download & activate Life 360 app, Air Tag or other tracking device neccessary to always maintain your active location for team sharing at any time. You further agree to purchase a TAKEOFF approved "DashCam" at any time agreeing to never deactivate, cover, turn-off, disconect or remove the DashCam or any other after market items/accessories such as but not limited to: Refrigerator, Mats, Seat Covers, Bed, Phone Mounts, Chargers, Decals or other items we provide in our vehicles for a smoother operation or you will be fined up to $1,000 deduction from your pay or to the value/cost of each damage or missing items as criminal actions could also be taken against you. You agree to take full 360° angel pictures/video of vehicle before and after each use to avoid damage liability or fines for any damages will be added/deducted from your account billed to you. consent to allow TAKEOFF Inc. and staff to use your face, likeness in all TAKEOFF & related media including but not limited to: All social media, commercials and all other promotional advertisements, flyers, posters, post etc that we may choose/approved at any time, also agreeing to attend all company events, zoom meetings, any time at our sole discretion. You agree and consent to participate in all social media promotions, commercial/ads etc Following, Sharing and Referring people to RENT, DRIVE OR RIDE with @TAKEOFFElites on Instagram and other specific platforms we advise.

Drug & Alcohol Screenings
You further agree that you have no current, prior use or addiction to alcohol/drugs or are a known habitual user of any illicit stimulants/ substances further agreeing to take random alcohol/drug test before/after operating our vehicles and submit photo/video or even live recordings of your results at anytime upon request and also consent & agree to submit any specified medical reports requested by TAKEOFF Inc. at any time or immediately, especially before/after damages, accidents/infractions etc that may occur. To prevent accidents and as a precautionary measure, you understand & agree that you are strickly prohibited from the use or consumption of any illicit substances, medications, stimulants or depressants including but not limited to: drugs, alcohol or any other illicit drugs/substances that could impair your judgment/safety or the safety of others before during or after the use of the vehicle or your access will be denied if any sign, smell or use is detected in the car in any way and you agree that if alcohol/drugs is detected your access will be denied and your account could be suspended or terminated completely immediately with fines up to $500 for each occurrence or legal actions can be taken against you as driving while impaired is against the law. You also agree that orher driver infractions could limit, restrict/terminate your access without refund if background/Screenings determined or if you have been civilly/criminally charged. You agree that we have no proof nor do we have imputed knowledge of risks Of mental/physical ailments or criminal background has been revealed or made known to TAKEOFF Inc., understanding that TAKEOFF Inc. or its staff/affiliates shall not be held liable for any drug, alcohol or any other civil/ criminal charges, violations, actions, fines or fees of any kind, at any time, in any way in a court of law.
By checking/signing this agreement, you acknowledge that each of the Additional Addenda attached to this Agreement and are therefore made a part of this agreement even if attached later. You further acknowledge that you have read and that you agree to all of the provisions set forth in this Term Sheet and the Additional TAKEOFF Inc. Addenda.

You agree that this contract agreement can have added addendums and revised, updated, extended or terminated by TAKEOFF Inc. at any time at our sole discretion without notice to you. You understand and agree that you are not permitted to illegally possess, store, keep, sublease, rent, operate, drive or attempt to drive a vehicle belonging to TAKEOFF Inc./Stephanie White or its rightful owners without permission & expressed consent. You also understand and agree that you must return the vehicle at any time upon request or be subject to fines or criminal action/prosecution. Your Driver License Validity, Driver Record, Drug, Alcohol and Background check/Screenings may all be used to determine whether you are eligible/qualify for full usage/possessing our vehicles at anytime. You understand, consent and agree that contract terms, fees and rental usage is only for (180-days) and will automatically renew for an additional (180-days) if you do not cancel.
You consent and agree to adhere to all terms and conditions in the Permissive Usage and Terms and conditions clauses following all matainence/trainings notifications. You agree that you have no medical conditions, ailments or disabilities that could impair your driving/performance, or points on your driver record. You understand and agree that TAKEOFF reserves the right to allow, permit/consent to all usage which includes but not limited to: Reconsiderations, driver access, profiles contract/terms can which can all be denied, suspended, canceled/terminated at any time for any reason without refund, warning or notice to you. You understand that you could be considered/ eligible to own a car if requested and all obligations are fulfilled accurately throughout & after the first year of service. You also agree that cars /passengers, eligibility and availability is not garaunteed as cars years, makes and models can vary at anytime and you will be obligated to take possession of whats currently available at that time even if you have rented in a specific category. You further understand and agree that TAKEOFF INC. nor its staff/affiliates promise or garauntees clients, routes or increased pay or return on any verbal or written contracts or agreements at any time, wether driver, renter, Investor, partner etc., as business model is unpredictable and could fail or become unsuccessful or unprofitable at anytime in any way. All tasks/obligations and all other conditions listed herein that youve read fully understand and agreed to adhere to are all mandatory and required for fulfillment & duration of your rental agreement. You understand agree that we are not attorneys and we do not give legal advice on investments or execution of dealings without written and signed agreement from owner as you agree that no promises or guarantees have been given or made to you in any way and any information we give or suggest to you will be used and received at your own risk and discretion as it is only for promotional use. You also agree that you've had time to read, review and fully understand all the terms and impact of this agreement and willfully agree to sign & adhere to the all terms here-in without legal representation. Further agreeing, that you are a US citizen over the age of 21+ willfully consenting in your own name and all information, statements, answers and consents are all true and have been given to the best of your knowledge and ability under the penalties of Perjury and shall be upheld in any court of Law to the fullest extent if violated or breached.
Note: All license, certificate, deposits, consultant fees are Non-refundable, (NO REFUNDS). This is whether the application has been approved, denied, cancelled, withdrawn, inactive or even if an applicant submits multiple applications for the same license or certificate or membership plan.

In viewing, reading, signing or taking financial action or measures to participate in this business and its projects etc you are agreeing to do so at your own will, discretion and risk, agreeing that all terms, conditions, timelines, results and outcomes may vary and are all subject to change at anytime without notice to you as no garauntees or promises have been made to you in any way. You further understand and agree that all sales, donations, investments, gifts, giveaways and other payment methods, fees, advancements etc are all final and are Non-Refundable, for any reason or cause as results and outcomes may vary and are all subject to change at anytime without notice to you as no garauntees or promises have been made to you in any way. All cars specs years make and models are all subject to change at anytime without notice to you. Cancellation and Early Termination fees will apply if terms are breached.
